DealNote — Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you and Funtika (“DealNote”, “we”, “us”, or “our”) governing your access to and use of the DealNote mobile application and related services (together, the “Service”). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use DealNote. The Service is intended for business and professional use by solo creators, freelancers, and agencies. By using it you represent that you meet these requirements and that any information you provide is accurate.

2. The Service

DealNote lets you write a free-text note about a deal and turns it into structured, trackable data — deliverables, payments, meetings, to-dos, people, and expenses — which you can review, edit, track, and complete. The Service includes optional features such as cloud sync, file attachments, reminders, a money dashboard, and WhatsApp inbound capture.

The Service is local-first: it works offline on your device, and cloud sync is optional. We may add, change, or remove features at any time.

3. Accounts and authentication

Some features require an account, created via anonymous authentication or a third-party sign-in (such as Google). You are responsible for any activity that occurs under your account and for keeping your device and credentials secure. Notify us promptly of any unauthorized use.

4. Subscriptions, free trial, and billing

DealNote offers a free tier and optional paid subscriptions (“DealNote Pro” or similar) that unlock additional features.

Purchases and billing are processed by the Apple App Store or Google Play (managed through RevenueCat). We do not receive or store your full payment card details.
Free trial. Paid plans may include a free trial (e.g., 14 days). If you do not cancel before the trial ends, the subscription converts to a paid plan and your store account is charged.
Auto-renewal. Subscriptions renew automatically at the then-current price for the chosen period unless you cancel at least 24 hours before the end of the current period, in accordance with the App Store / Google Play rules.
Managing and cancelling. You manage, change, or cancel subscriptions in your Apple or Google account settings. Deleting the app does not cancel a subscription.
Refunds are handled by Apple or Google under their respective policies; we generally cannot issue store refunds directly.
Price changes may apply to future billing periods and will be communicated as required by the applicable store and law.

5. AI features and accuracy

DealNote uses third-party artificial-intelligence models (the Anthropic Claude API) to organize your notes into structured data. AI output:

May be inaccurate or incomplete. Amounts, dates, percentages, names, payment terms, and other extracted fields can be wrong. You must review and confirm every field before relying on it. Nothing is saved until you confirm, and full manual entry is available.
Is not professional advice. DealNote does not provide financial, tax, accounting, or legal advice. You are solely responsible for your business decisions, invoices, contracts, and tax obligations.
Optional bring-your-own-key. If you supply your own Anthropic API key, it is stored in your device’s secure storage and used only to make requests on your behalf; you are responsible for your own usage and any associated costs under your agreement with Anthropic.

6. Your content

You retain all rights to the notes, deals, contacts, files, and other content you create or upload (“Your Content”). You grant us a limited license to host, process, transmit, and display Your Content solely to operate and provide the Service to you (for example, to sync it across your devices or pass note text to the AI model for organization).

You are responsible for Your Content and for having the rights to use it, including any third-party personal data (such as your clients’ contact details) that you enter. Do not upload content that is unlawful, infringing, or that you do not have permission to share.

7. WhatsApp inbound

If you use the WhatsApp inbound feature, messages you send or forward to the DealNote number are transmitted through Meta’s WhatsApp platform and our processing function, then through the AI model, to create deals in your account. Your use of WhatsApp is also subject to Meta’s terms. Do not send content you are not permitted to share.

8. Third-party services

The Service relies on third parties, each with its own terms and privacy practices, including Anthropic (AI processing), Supabase (cloud database and file storage), Apple and Google (distribution, sign-in, and billing), RevenueCat (subscription management), and Meta/WhatsApp (inbound capture). We are not responsible for third-party services, and your use of them may be governed by their agreements.

9. Acceptable use

You agree not to:

use the Service for any unlawful, harmful, or fraudulent purpose;
attempt to reverse-engineer, decompile, interfere with, or gain unauthorized access to the Service or its systems;
upload malware or content that infringes others’ rights or violates law;
abuse, overload, or attempt to circumvent usage limits, security, or billing of the Service or its third-party providers; or
use the Service to build a competing product.

10. Intellectual property

The Service, including its software, design, illustrations, branding, and content (excluding Your Content), is owned by Funtika and its licensors and is protected by intellectual-property laws. We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. All rights not expressly granted are reserved.

11. Privacy

Our handling of personal data is described in our Privacy Policy, available at https://carmonbot-oss.github.io/dealnote-legal/privacy-policy.html. By using the Service you consent to that processing.

12. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, non-infringement, accuracy, or uninterrupted or error-free operation. We do not warrant that AI output, calculations, reminders, or syncs will be accurate, timely, or complete. You use the Service at your own risk.

13. Limitation of liability

To the maximum extent permitted by law, Funtika and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Service — including reliance on AI output, missed payments or deadlines, or lost or corrupted data — even if advised of the possibility. To the extent liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid us for the Service in the 12 months before the claim, or USD 50.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Service or comply with law. On termination, the license granted to you ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and governing law) will survive.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, in-app or by updating the “Last updated” date). Your continued use after changes take effect constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the country in which Funtika is established, without regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of its courts, except where mandatory consumer-protection law in your country of residence provides otherwise.
